Terms of Service

These terms govern the relationship between you and Local Roots Studio (“we,” “us,” or “I”), a sole-operator web studio run by Benjamin Rodriguez in San Diego, California. By using localrootsstudio.com, requesting a quote, or hiring us, you agree to these terms. If you don't agree, please don't use the site or engage our services.

Services We Offer

We design and build websites for local service businesses such as plumbers, electricians, HVAC companies, and landscapers. Our current packages include Starter ($1,297 setup + $97/month for hosting, maintenance, and minor edits) and Standard (priced per project). Package scope and pricing are confirmed in a written proposal before work begins.

Acceptance of Terms

When you sign a proposal, pay a deposit, or send us “go ahead” in writing (email or text), you accept these terms and any project-specific terms in the proposal. If the proposal and these terms conflict, the proposal wins for that engagement.

Intellectual Property

Once final payment is received, you own the final design and code delivered for your site, including the right to use it indefinitely on the domain we built it for. You retain full ownership of any content you provide (photos, text, logos, reviews). We retain ownership of our underlying tools, templates, starter frameworks, and general know-how, and we may reuse those on other projects. We may display your finished site in our portfolio and case studies unless you ask us in writing not to.

Payment Terms

Setup fees are invoiced through Stripe and due on a net-7 basis unless otherwise stated in the proposal. Monthly care-plan fees are billed on a recurring basis starting the day the site goes live. Invoices more than 14 days past due may result in the site being paused until payment is received. A late fee of 1.5% per month may be applied to overdue balances.

Cancellation & Refunds

30-day satisfaction guarantee. If you're not happy with the initial design direction in the first 30 days after the kickoff call, tell us and we'll either fix it or refund your setup fee in full. After 30 days, setup fees are non-refundable.

Monthly care plans can be cancelled any time with 30 days' written notice. On cancellation, we'll export your site files and transfer your domain so you can move hosts. No refunds on partial months.

Warranty Disclaimer

We do our best to deliver work that's fast, accessible, and correct, but the services and site are provided “as is” without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. We don't guarantee specific search rankings, lead volume, or revenue outcomes.

Limitation of Liability

To the fullest extent allowed by law, our total liability for any claim related to our services is limited to the amount you paid us in the twelve months before the claim arose. We are not liable for indirect, consequential, incidental, or punitive damages including lost profits, lost leads, or data loss.

Indemnification

You agree to indemnify and hold us harmless from any claim arising out of content you provide (photos, copy, logos), your use of the site, or your violation of these terms or of any law.

Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The venue for any court proceeding that survives arbitration is San Diego County, California.

Dispute Resolution

If something goes wrong, email ben@localrootsstudio.com first and we'll try to sort it out informally within 30 days. If we can't, any unresolved dispute will be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in San Diego County, California. Each side bears its own attorney's fees unless the arbitrator rules otherwise. You waive the right to a jury trial and to participate in a class action.

Changes to These Terms

We may update these terms from time to time. When we do, we'll change the “Last updated” date at the top. For material changes that affect active clients, we'll email you before the change takes effect.
